Terms of Service

The agreement between you and Panzoe.

1. Who we are

These Terms of Service ("Terms") govern your access to and use of the Panzoe platform, websites, applications and AI copilot services (collectively, the "Services") provided by Panzoe Technologies, a Canadian company serving a global audience ("Panzoe", "we", "us").

By creating an account or using the Services you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to use Panzoe. Business plans may only be purchased by individuals authorised to act for the subscribing organisation.

You are responsible for ensuring your use of the Services is lawful in your location. The Services are offered globally but may not be available in every jurisdiction.

3. Your account

You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account.

  • Notify us immediately at support@panzoe.ai if you suspect unauthorised access.
  • You may not share, sell or transfer your account.
  • Workspace owners are responsible for the actions of members they invite.

4. Subscription services

Panzoe is a subscription platform. New accounts receive a 7-Day Discovery Experience with full platform access, after which continued access requires a paid plan (Basic, Pro or Premium across Individual, Family and Business audiences).

Plan entitlements — including the number of unlocked pillars, seats and features — are described on our Pricing page and in the Subscription & Billing Policy, which forms part of these Terms.

5. Payments

Paid plans are billed in Canadian Dollars (CAD) unless otherwise displayed, and processed securely by Stripe. By purchasing a subscription you authorise recurring charges for your selected billing cycle until you cancel.

You are responsible for applicable taxes. Refunds are governed by our Refund Policy, including the 14-day money-back guarantee for first-time subscribers.

6. Acceptable use

You agree to use the Services in accordance with our Acceptable Use Policy. In short: no illegal activity, fraud, spam, malware, harassment, infringement, abusive automated usage, or attempts to circumvent platform safeguards, rate limits or access controls.

7. AI-generated content

The Services use artificial intelligence to generate suggestions, summaries, plans and other content ("AI Output"). AI Output may be inaccurate, incomplete or inappropriate for your circumstances.

  • You retain responsibility for reviewing AI Output before relying on or acting upon it.
  • As between you and Panzoe, and to the extent permitted by law, you own the AI Output generated from your inputs.

8. Intellectual property

The Services — including software, design, branding, copilot architecture, AI workflows, prompt systems and documentation — are owned by Panzoe and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose while your subscription is active. You retain ownership of the content and data you submit ("Your Content"). You grant Panzoe a limited licence to process Your Content solely to provide, secure and improve the Services, as described in our Privacy Policy.

9. Platform availability & modifications

We aim for high availability but do not guarantee the Services will be uninterrupted or error-free. We continuously improve Panzoe and may add, change or retire features, copilots or plans. Where a change materially reduces the core functionality of your paid plan, we will provide reasonable advance notice.

10. Suspension & termination

We may suspend or terminate access where we reasonably believe you have breached these Terms, created risk or legal exposure for Panzoe or other users, or where required by law. Where practicable we will notify you and give you an opportunity to remedy the issue.

You may cancel your subscription and delete your account at any time from Settings. Cancellation stops future renewals; deletion permanently removes your account data as described in our Privacy Policy.

11. Disclaimer of warranties

The Services are provided "as is" and "as available". To the maximum extent permitted by law, Panzoe disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that AI Output will be accurate or reliable.

12. Limitation of liability

To the maximum extent permitted by law, Panzoe will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Services.

Our aggregate liability for all claims relating to the Services will not exceed the amounts you paid to Panzoe in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not permit certain limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Panzoe and its officers, employees and partners from claims, damages and expenses (including reasonable legal fees) arising from Your Content, your use of the Services in breach of these Terms, or your violation of any law or third-party right.

14. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts of British Columbia, Canada will have exclusive jurisdiction, and each party consents to personal jurisdiction there. Nothing in this section deprives consumers of mandatory protections available in their country of residence.

15. International users

Panzoe serves a global audience from Canada. You are responsible for compliance with local laws, including export controls and data-transfer requirements applicable to you. Additional region-specific terms may apply as we launch localised offerings.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via the platform or email at least 14 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance.
